Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Kargo United Inc., a Delaware corporation operating as TrimHQ ("TrimHQ," "we," "us," or "our"), regarding your use of the TrimHQ platform, website, applications, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

TrimHQ provides barbershops ("Barbershop Customers") with software for online booking, walk-in queue management, loyalty programs, SMS notifications, and related business tools. Clients of these barbershops ("End Users") interact with TrimHQ-hosted booking pages, queue interfaces, and receive SMS communications when they opt in.

You must be at least 18 years old to create an account or use services that require an account. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

To access certain features (such as managing a barbershop), you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

Required TCPA-compliant consent provisions:

By providing your mobile phone number and selecting "Yes" on the SMS opt-in choice during online booking, you expressly consent to receive automated text messages, including messages sent using an automatic telephone dialing system, from TrimHQ on behalf of the specific barbershop you have interacted with.

Messages may include: appointment booking confirmations, appointment reminders, and loyalty reward notifications.

Consent is not a condition of any purchase.You may book appointments and use barbershop services without opting in to SMS. Standard message and data rates may apply. Message frequency varies. Reply HELP for help, STOP to unsubscribe at any time.

By opting in, you acknowledge that you are the subscriber of the mobile phone number you provide, or that you have the authority to provide consent on behalf of the subscriber.

TrimHQ processes deposits via Stripe Connect. When you (as an End User) pay a deposit through the Service, the deposit amount is held by the barbershop's Stripe account. TrimHQ does not charge a per-deposit fee; the full deposit is paid to the barbershop via Stripe Connect.

Deposits and refunds: Deposit refund and cancellation policies are set by individual barbershops. Default policy: deposits cancelled at least 24 hours before the appointment are converted to account credit applied at the next visit. Deposits cancelled within 24 hours of the appointment are forfeited unless the barbershop chooses otherwise. Barbershops may modify these policies in their settings.

Disputes: Payment disputes between End Users and Barbershop Customers should be resolved directly between those parties. TrimHQ is not a party to such transactions and is not responsible for resolving disputes about service quality.

You agree not to:

• Use the Service for any unlawful purpose.
• Attempt to gain unauthorized access to the Service or its data.
• Use the Service to harass, defraud, or harm others.
• Send unsolicited communications through the Service.
• Reverse engineer, decompile, or attempt to extract source code.
• Resell or repackage the Service without express authorization.
• Use the Service to violate any applicable law or regulation.

Barbershop Customers are responsible for:

• Compliance with all laws applicable to their business.
• Honoring SMS opt-out requests from their clients.
• Accurate representation of services, prices, and policies.
• Maintaining their own business licenses, permits, and tax obligations.
• Treating client data with appropriate confidentiality.

The Service, including all software, designs, text, graphics, and logos, is owned by Kargo United Inc. and protected by copyright, trademark, and other intellectual property laws. TrimHQ is a trademark of Kargo United Inc. You may not use any TrimHQ trademarks without prior written permission.

Barbershop Customers retain ownership of content they upload (logos, photos, business information) but grant TrimHQ a non-exclusive license to use such content as necessary to provide the Service.

You may terminate your account at any time. We may suspend or terminate your access to the Service for violations of these Terms, fraud, abuse, or other conduct we determine in good faith warrants termination.

Upon termination, your right to use the Service ends. We will retain or delete your data per our Privacy Policy and applicable law.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted, secure, or error-free operation of the Service. We are not responsible for the accuracy, quality, or reliability of services provided by barbershops using the platform.

To the maximum extent permitted by law, Kargo United Inc. shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the twelve months preceding the claim, or $100, whichever is greater.

You agree to indemnify and hold harmless Kargo United Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Will County, Illinois, and you consent to the jurisdiction of such courts.

We may modify these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Continued use of the Service after changes constitutes acceptance.
